TERMS & CONDITIONS

SERVICES

1. To become a Publisher or Advertiser and take the Services you must register and create an Account on the Platform.
2.You agree to provide accurate and complete information about himself during the registration process and not to hide his identity from Mobitopia for any reason whatsoever.
3. Use of the Services provided by Mobitopia is strictly limited to individuals who are 18 years of age or older, legally capable of entering into a binding contract under applicable law, and not otherwise barred from such use.
4. Mobitopia reserves the right to request additional information: promotional materials, creatives, placement examples, links, screenshots, and etc.

FOR ADVERTISERS

1. In order to become an Advertiser and use the Services you must register and create an Account with us.
2. Advertisers are able to use the Services in order to advertise their goods and services by uploading Advertising Materials on the Platform.
3. By uploading Advertising Materials, you agree that Mobitopia can place and deliver the Advertising Material to Publishers in order to incorporate or embed the Advertising Material onto the Publisher’s website.
4. You are responsible for ensuring that any Advertising Material does not feature any Inappropriate Content.
5. You hereby expressly agree that any Advertising Material does not and shall not infringe any third- party rights or breach Applicable Laws (including but not limited to copyright and trademark laws and general rights to privacy). You also agree that any Advertising Material is not and shall not be offensive or defamatory or unlawful in any other way. Mobitopia shall have the right, but not the obligation to:

review and approve any Advertising Material uploaded by an Advertiser on the Platform.

In this regard, Mobitopia shall have the right in its sole and absolute discretion to refuse to make available any Advertising Material which it either disapproves of, or is deemed to be in breach of these Terms.

remove any Advertising Material which Mobitopia, acting in its sole and absolute discretion, either disapproves of, or is deemed to be in breach of these Terms.
Order Validation means confirming the status of each order as either approve, reject or pending. Once an order is tracked in Mobitopia’s system, only these statuses can be applied.

For orders marked as rejected/canceled, the Advertiser must provide a clear and specific reason for the decline, ensuring transparency and accuracy in validation.The Advertiser agrees to validate orders based on the attribution model.

FOR PUBLISHERS

1. Mobitopia shall have the right in its sole and absolute discretion to review and approve a Publisher’s Source which has been submitted on the Platform. In this regard, Mobitopia shall have the right in its sole and absolute discretion to refuse to accept a Publisher’s Source which it either disapproves of or is deemed to be in breach of these Terms. Mobitopia may refuse to accept a Publisher’s Source for many reasons, such as but not limited to:

websites that are under construction or incomplete
sources that infringe on any third-party rights or breach Applicable Laws (including but not limited to copyright and trademark laws and general rights to privacy)
sources which contain Inappropriate Content; such as but not limited to content which promotes violence, promotes discrimination, promotes illegal activities, aimed at political ends, both party political advertising and political advocacy by non-partisan groups, infringes the Intellectual Property Rights of any person, involves malware, viruses or fishing offers or violates advertising regulations or rules of conduct, such as but not limited to advertising for or in connection with medicinal products for the purpose of the treatment, prevention or diagnosis of any disease
sources promoting any type of illegal substance, good, services or activity
sources that participate in or transmit inappropriate newsgroup postings or unsolicited e-mail (spam)
sources promoting phishing
spyware or malware sources.

2. Mobitopia reserves the right to terminate your account without payment if you use unauthorized Advertising Materials.
3. The Publisher agrees that every Action will be checked by both Mobitopia’s and Advertiser’s anti-fraud system. Both Mobitopia and its Advertisers reserve the right to cancel any Action that is considered fraudulent by any of the anti-fraud systems. Both Mobitopia and Advertisers may choose to notify the Publisher about such cancellations at their sole discretion.
4. Both Mobitopia and Advertisers reserve the right not to disclose any information related to their anti-fraud systems, reports or Actions cancelled due to fraud.

THE ORDER OF IMPOSING SANCTIONS TO THE WEBMASTER

If the Member of the Affiliate network violates conditions and guidelines for participation in the Affiliate network, the Affiliate network administration reserves the right to apply sanctions to such Member.

Sanctions will include:

Suspension of payments to this Member’s account, pending a decision on the degree of violation of the Webmaster
Temporary blocking of the account, pending a decision on the degree of violation of the Webmaster
Indefinite lock of the Webmaster’s account, blocking all earned funds in favor of the advertiser who placed the offer which the Webmaster had accepted for promotion and violated the rules
The decision making on the degree of the performed offense by the Webmaster will be carried out individually, but no more than within 3 working days of the date the sanction was enforced.

PAYMENTS

1. Mobitopia collects fees from Advertisers (the “Fees”), calculated using a pricing model.
2. The Publisher shall be entitled to the Revenue Share received from Advertisers (the “Net Fees”). The publisher acknowledges and agrees that the payment obligations hereunder are based solely on:

the number of actions, as determined solely by Mobitopia
Mobitopia receiving the Fees from the Advertisers

and not on any other criteria, you shall be able to view the number of actions via your Dashboard.

You acknowledge and agree that Mobitopia may adjust the balance in your Account if there is:

a chargeback received from an Advertiser for previously paid actions
a refund requested by an Advertiser
a non-paid invoice by an Advertiser

as this will reduce the Fees received from the Advertisers and accordingly the amount of the Revenue Share.
4. You acknowledge and agree that Mobitopia acts as an agent between you and Advertisers and will distribute profits to you only after we receive fees from Advertisers for the Actions you generate.
5. Payments are made to your account using the selected payment method.
